Terms of Service

These Terms of Service ("Terms") govern your access to and use of the 2WAI Education Suite ("Service"), operated by 2WAI Education ("2WAI," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
If you are using the Service on behalf of a school, school district, or other educational institution, you represent that you have the authority to bind that institution to these Terms, and "you" refers to that institution.
1. Acceptable Use Policy
The 2WAI Education Suite is designed exclusively for educational purposes in K-12 school settings. All users must use the Service in a manner consistent with its intended educational purpose.
- Use the Service only for legitimate educational activities, including teaching, learning, tutoring, homework assistance, and classroom management.
- Interact with the AI tutor respectfully and in good faith, asking genuine educational questions appropriate to the student's grade level.
- Maintain the confidentiality of login credentials and not share account access with unauthorized individuals.
- Report any technical issues, security vulnerabilities, or inappropriate content to the platform administrators promptly.
- Comply with all applicable federal, state, and local laws, as well as your school or district's acceptable use policies.
2. Account Responsibilities
Teacher Accounts
- Teachers must be at least 18 years of age and currently employed or authorized by an educational institution.
- Teachers are responsible for creating and managing student accounts within their classrooms.
- Teachers must review AI-generated content before distributing it to students to ensure accuracy and appropriateness.
- Teachers are responsible for monitoring student interactions with the AI tutor and reporting any concerns.
- Teachers must maintain the security of their account credentials and immediately report any unauthorized access.
Student Accounts
- Student accounts for users under 13 must be created by a teacher or school administrator with appropriate parental consent.
- Students must use the Service only for educational purposes as directed by their teacher.
- Students must not attempt to access other students' accounts or data.
- Students must not share their login credentials with others.
- Students are expected to interact with the AI tutor in a respectful, age-appropriate manner.
Account Security
You are responsible for all activity that occurs under your account. You must immediately notify us at support@2wai.com if you become aware of any unauthorized use of your account or any other breach of security. We are not liable for any loss arising from unauthorized use of your account.
3. AI Interaction Guidelines
The AI tutor is designed to assist students with learning and should be used as a supplementary educational tool, not as a replacement for teacher instruction.
- Educational Purpose Only: The AI tutor should be used only for academic questions and learning activities. It is not a general-purpose chatbot.
- No Personal Information: Students should not share personal information (home address, phone number, family details) with the AI tutor.
- Academic Integrity: Students should use the AI tutor to understand concepts and develop skills, not to complete assignments without learning. The AI is designed to guide and teach, not to provide direct answers for submission.
- Content Filtering: The AI tutor has built-in content filters to ensure age-appropriate responses. Attempts to circumvent these filters are a violation of these Terms.
- No Medical, Legal, or Emergency Advice: The AI tutor is not qualified to provide medical, legal, psychological, or emergency advice. In case of an emergency, users should contact appropriate authorities.
4. Prohibited Content and Conduct
The following activities are strictly prohibited when using the Service:
- Submitting, uploading, or transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
- Attempting to bypass content filters, safety mechanisms, or other security features of the platform.
- Using the Service to bully, intimidate, or harass other users.
- Attempting to gain unauthorized access to other users' accounts, school data, or platform infrastructure.
- Using automated scripts, bots, or scraping tools to access the Service.
- Reverse engineering, decompiling, or disassembling any part of the Service.
- Using the Service for any commercial purpose unrelated to educational activities.
- Impersonating another person, teacher, or student.
- Uploading content that infringes on the intellectual property rights of others.
- Deliberately providing the AI tutor with misleading prompts designed to generate inappropriate or harmful content.
Violation of these prohibitions may result in immediate suspension or termination of your account, and may be reported to school administrators and, where appropriate, law enforcement.
5. Intellectual Property
- Platform Ownership: The Service, including its design, features, code, and branding, is the intellectual property of 2WAI Education and is protected by copyright, trademark, and other intellectual property laws.
- User Content: Teachers and students retain ownership of original content they create and upload to the platform (lesson plans, assignments, submissions). By uploading content, you grant 2WAI a limited, non-exclusive license to use that content solely to provide and improve the Service.
- AI-Generated Content: Content generated by the AI tutor is provided for educational use. You may use AI-generated content in your educational activities but may not commercially redistribute it.
- Feedback: If you provide suggestions, ideas, or feedback about the Service, we may use that feedback without obligation to you.
6. Subscription and Billing
- Free Tier: A limited free tier is available with restricted features and usage limits.
- Paid Subscriptions: Paid plans are billed monthly or annually as selected during purchase. All prices are in US dollars.
- Automatic Renewal: Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date.
- Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused time within a billing period.
- Refunds: Refunds are available within 14 days of purchase for annual plans. Monthly plans are non-refundable. Contact support@2wai.com for refund requests.
- Price Changes: We may adjust pricing with at least 30 days' advance notice. Price changes take effect at the start of the next billing period.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Without limiting the foregoing, we do not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free.
- AI-generated content will be accurate, complete, reliable, or appropriate for any particular educational purpose.
- The results obtained from use of the Service will meet your requirements or expectations.
- Any errors in the Service will be corrected.
Teachers and educators are responsible for reviewing AI-generated content for accuracy and appropriateness before using it in instruction or sharing it with students.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 2WAI EDUCATION AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use of or inability to use the Service.
- Any unauthorized access to or use of our servers and/or any personal information stored therein.
- Any interruption or cessation of transmission to or from the Service.
- Any errors, inaccuracies, or omissions in AI-generated content.
- Any conduct or content of any third party on the Service.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO 2WAI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
9. Indemnification
You agree to indemnify, defend, and hold harmless 2WAI Education, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (d) any claim that content you uploaded caused damage to a third party.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation is unsuccessful within 30 days, the dispute shall be submitted to binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.
Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.
11. Termination
- By You: You may terminate your account at any time by deleting it through the account settings page or by contacting support.
- By Us: We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable.
- Effect of Termination: Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including, without limitation, ownership provisions, warranty disclaimers, indemnification, and limitations of liability) shall survive.
- Data After Termination: Upon account termination, personal data will be handled in accordance with our Privacy Policy.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify registered users via email and post a notice on the Service at least 30 days before the changes take effect. For schools and districts under a service agreement, material changes will be communicated to the designated administrative contact. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
